Terms of Service

Introduction and Overview

Thanks for choosing Seed ("Seed," "we," "us," or "our"). Seed provides a personal finance platform (the "Platform") that includes (1) software and services such as our Seed mobile apps, web app, Gardener AI, financial insights, and connected‐account features (each, a "Service"); and (2) installable and/or hosted software, documentation, and updates (collectively, "Software").

When you use the Platform, you enter into a binding agreement with Seed. The italic notes in some sections are for clarity only; the actual terms control. Section A applies to the Platform generally. Section B adds Service-specific terms.

If you use the Platform on behalf of a company or client, you represent that you're authorized to accept these terms for them. "You" includes that entity and its authorized users.

Agreement to These Terms

To access or use the Platform, you agree to:

• This Agreement, which includes Seed's Privacy Statement, the then-current Section A and Section B terms, and any additional terms we present for specific features, partners, or promotions ("Additional Terms").
• You are at least 18 years old, can form a binding contract, and are not barred from using the Platform under applicable law.
• Credit & third-party data authorization (when you use those features). If you opt into features that require financial or credit data (for example: linking accounts via Plaid or receiving credit insights), you provide written instructions under the Fair Credit Reporting Act and similar laws authorizing Seed and our affiliates/providers to obtain, use, and periodically refresh your information for eligibility, improvement, and other purposes described in our Privacy Statement, until you remove the connection or delete your account (as applicable).

Your Personal Information

See our Privacy Statement for how we collect, use, disclose, and protect personal data. Only submit personal data of others if you have authority to do so.

• You agree Seed may use and maintain your information as described in the Privacy Statement, as updated over time.
• If you input personal data about others, you represent you have all legally required notices/consents and that our processing aligns with your obligations.
• We may share data among Seed entities and trusted processors to operate and improve the Platform, consistent with the Privacy Statement. We do not "sell" personal information as defined by certain state laws unless we clearly say so and provide choices.

Security at Seed. We design for strong security, including encryption in transit and at rest and strict row-level security (RLS) and role-based access controls (RBAC) in Supabase so each user sees only their own records. We also operate on Vercel and follow industry best practices to work toward SOC 2 and ISO 27001 alignment. See "Security" in our Privacy Statement for more.

Changes

We may update this Agreement or the Platform. If changes are material, we'll notify you or request acceptance in-product. Continued use means you accept the changes. We may add, change, suspend, or discontinue features at any time and won't be liable for doing so.

Your Rights to Use the Platform

Subject to this Agreement and payment (if any), Seed grants you a personal, limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your lawful, internal, non-commercial purposes (unless otherwise permitted by a specific Service or written agreement). Software is licensed, not sold.

You may keep one backup copy of any downloadable Software, with all notices intact. You must not remove or alter proprietary notices.

Beta Features

We may offer pre-release or trial features. They're provided as-is, may change or end at any time, and may be subject to additional rules.

Account

• Provide accurate, current information and keep it updated.
• We may verify your identity (e.g., name, DOB, address) to enable features and prevent fraud.
• You're responsible for securing your login and devices. Tell us promptly if you suspect unauthorized access.

Payment & Cancellations

• Billing & renewals. Fees are charged in U.S. dollars via your selected payment method (or the app store's). Subscriptions auto-renew unless canceled per the instructions for your plan or store. We may change recurring prices with notice effective the next term. If you disagree, cancel before the change takes effect.
• Refunds. Unless required by law or a specific policy, fees are non-refundable. If you cancel during a term, you keep access until the end of the paid period.
• RevenueCat / App Stores. If you subscribe via Apple App Store or Google Play (managed by RevenueCat), the store terms (including cancellations and refunds) apply.

Desktop and Mobile App Use

The Platform may be delivered via a web app and/or mobile apps. You must comply with your carrier's, device maker's, OS vendor's, app store's, and any third-party terms.

Third-Party Advice and Products

Seed is not a provider of legal, investment, tax, accounting, medical, or other professional advice. The Platform may integrate third-party products and services (e.g., Plaid, credit bureaus, RevenueCat). Seed is not responsible for those third parties or their claims. Review their terms and privacy notices. Seed may receive compensation for certain referrals or integrations.

Content and Data

You're responsible for the information you submit, upload, receive, store, or share ("Content"). You retain your intellectual property rights in your Content.

You grant Seed a worldwide, non-exclusive, royalty-free license to host, reproduce, process, adapt, and display your Content solely to operate, improve, secure, and support the Platform, including creating backups, formatting, and enabling features. If you make Content visible to others, you also permit us to display and share it accordingly.

Seed may create and own aggregated and/or de-identified data derived from Platform usage (including from Content) to operate, analyze, improve, and market our products, provided it does not identify you. Seed and its licensors retain all rights, title, and interest in the Platform except for the rights expressly granted to you.

Prohibited Uses

• Break laws or violate others' rights;
• Post unlawful, infringing, obscene, harassing, or fraudulent content;
• Upload malware or interfere with security or operations;
• Send spam or unauthorized marketing;
• Impersonate Seed or misrepresent your affiliation;
• Resell or provide unauthorized access to the Platform;
• Reverse engineer except where permitted by law;
• Scrape/harvest/bulk-download data you're not authorized to access;
• Use the Platform for general backup/archiving; or
• Help anyone else do the above.

We may monitor use (as permitted by law) and remove content or restrict access where reasonable to protect users, comply with law, or maintain Platform integrity. Repeat copyright infringement may lead to account closure.

Community Forums; Feedback

Community spaces may be available. Be respectful, don't share confidential information, and follow the rules. If you share feedback or ideas, you grant Seed a perpetual, worldwide, sublicensable, royalty-free license to use them without restriction.

Termination

This Agreement applies until your subscription ends, you close your account, or we terminate or suspend your access (for example, for violations, risks to users, or legal reasons). Deleting the mobile app does not cancel a subscription or delete your data. Follow the in-app/account or app-store instructions to cancel. For data deletion, follow our Privacy Statement's process.

Effect of Termination

Upon termination or expiration, you must stop using the Platform and pay any amounts due. Termination doesn't entitle you to a refund unless required by law. Sections intended to survive will continue (see "Survival").

Survival

The following survive termination: Personal Information, Payment & Cancellations (as to unpaid fees), Content and Data, Community & Feedback, Effect of Termination, Disclaimers, Limitation of Liability, Indemnity, Disputes, and General Terms.

Seed Communications

We may contact you to support your use of the Platform or to share important updates. Manage preferences in your account or as described in the messages. Keep your contact details current.

Third-Party Account Information

If you connect external accounts (e.g., bank or card accounts via Plaid), you authorize Seed and its providers to act as your agent to access and retrieve that information on your behalf. Seed does not review that data for accuracy and isn't responsible for errors or fees caused by third-party data or systems.

Disclaimers

Except as expressly stated in this Agreement or required by law, the Platform is provided "as is" and "as available." We do not guarantee the Platform will be error-free, uninterrupted, secure, or that it will meet your expectations. To the extent permitted by law, all implied warranties (merchantability, fitness for a particular purpose, non-infringement) are disclaimed. Where implied warranties cannot be disclaimed, they are limited to 60 days from purchase or first use, whichever is earlier.

Limitation of Liability

• Seed and its providers/licensors will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, data, goodwill, or business opportunities; even if advised of the possibility.
• Seed's total liability for any claim under this Agreement is limited to the greater of (a) amounts you paid to Seed for the relevant Service in the 12 months before the event giving rise to liability or (b) $100.

Some jurisdictions don't allow these limits; if they don't apply, we'll follow the minimum required by law.

Indemnity

You will indemnify and hold harmless Seed and our affiliates, providers, and licensors from third-party claims, losses, damages, and costs (including reasonable legal fees) arising from (a) your unlawful use of the Platform, (b) your violation of this Agreement, or (c) your Content or misuse of others' data. We may assume the defense at our expense; you'll cooperate reasonably with us.

Disputes (U.S. Customers)

Informal resolution first. Before filing a claim, you agree to send us a written Notice of Claim to: Seed Legal, Seed Net Worth, Inc., 1000 Brickell Ave STE 715 2040, Miami, FL 33131, [email protected] with a description of the issue and requested relief. We'll meet by phone or video within 60 days of receipt to try to resolve informally. Limitations periods and filing deadlines are tolled during this process.

Arbitration / small claims. If unresolved after 60 days, disputes will be resolved by binding arbitration administered by the AAA under its rules, or in small claims court if eligible. Hearings will occur in your county of residence or another mutually agreed location (or by video as allowed). The Federal Arbitration Act applies. Class action waiver: claims only on an individual basis—no class, collective, or representative actions.

General Terms (Miscellaneous)

Governing Law. This Agreement is governed by the laws of Miami, Florida, USA, except to the extent U.S. federal law (e.g., the FAA) applies.

Export & Sanctions. You represent you are not subject to U.S. sanctions or on restricted lists and will not export or use the Platform in violation of export/sanctions laws.

Government End Users. The Software is "commercial computer software" and documentation; government rights are limited to those in this Agreement.

Waiver. A failure to enforce a provision is not a waiver. Any waiver must be in writing and signed by Seed.

Assignment. You may not assign this Agreement without our written consent. Seed may assign at any time.

Severability & Contact. If any provision is unenforceable, the remainder remains in effect. Questions? [email protected].

Messaging Terms and Privacy

By providing a phone number, you confirm you're the current subscriber or owner. Calls may be monitored or recorded for support and quality. We may send promotional texts or calls if you consent. Message frequency varies; message/data rates may apply. Reply HELP for help and STOP to opt out (we may send a single confirmation of your opt-out). Carriers aren't liable for delayed/undelivered messages. See our Privacy Statement for opt-out options.

Linked Accounts & Financial Data (Plaid and similar)

If you connect external accounts, you authorize our provider(s) (e.g., Plaid) and Seed to obtain balances, transactions, account details, and related information to provide features like net-worth tracking, budgeting, and insights. You can disconnect at any time in the app. We do not initiate payments without your explicit authorization.

Credit Insights (If Enabled)

• Eligibility & authorization. You must be the subject of the report and authorize Seed and our provider to obtain, use, and periodically refresh your credit data.
• Educational use. Scores shown are for your education and may differ from those used by lenders. Calculators are illustrative only.
• No credit repair. Seed is not a credit repair organization and does not guarantee score changes.
• Support. Contact the bureau/provider directly for disputes about your file.

You can always obtain your credit reports via authorized government programs (e.g., AnnualCreditReport.com in the U.S.).

Subscriptions & Paywalls (RevenueCat / App Stores)

• Billing & renewal. Managed by Apple or Google (via RevenueCat). See store terms for pricing, renewals, cancellations, and refunds.
• Cancelation. Cancel via your app store at least 48 hours before renewal. Access continues through the current term.
• Price changes. We may change pricing prospectively with required store notices.

Bill Negotiation / Merchant Cancellations (If Offered)

If Seed offers assisted subscription cancellation or bill negotiation through a partner, you authorize Seed and the partner to act as your agent to share necessary account details and to request changes/cancellations on your behalf. Third-party terms apply; outcomes (e.g., refunds) follow the provider's policies. No results are guaranteed.

Gardener AI and Automated Insights

• No professional advice. Outputs are educational.
• Use responsibly. You're responsible for decisions.
• Model limits. AI results may be incomplete or incorrect.

Data Storage & Files (Supabase Storage)

Files you upload are stored in Supabase Storage under private buckets with per-user access (RLS). You grant Seed the rights needed to store, process, and display these files to you and people you share with.

Security Commitments

We employ layered security (encryption in transit/at rest, least-privilege, RBAC, RLS, audit logging, and reviews). We're implementing controls aligned to SOC 2 and ISO 27001. No system is 100% secure; use strong passwords, keep devices updated, and notify us of issues.

Product Notices

• Third parties may use different credit models than those shown in Seed.
• Simulators and "what-if" tools are estimates, not guarantees.
• Integrations can change or be discontinued by partners or us.
